Entity: Ultrahealth Consulting Ltd, a private company incorporated under the laws of Kenya.
1. Introduction
These Terms and Conditions ("Agreement") constitute a legally binding agreement between you (the "Counselor") and Ultrahealth Consulting Ltd ("the Company"), the operator of the online counseling platform hosted at https://www.my-wellness.co ("Platform"). By clicking “Accept” or by using the Platform, you agree to be bound by this Agreement.
2. ELIGIBILITY & REGISTRATION
To offer counseling services on the Platform, you must:
- Be 18 years or older.
- Be registered and licensed by the Counsellors and Psychologists Board (CPB) of Kenya or other competent authority.
- Undergo a verification and vetting process by Ultrahealth Consulting Ltd.
- Agree to adhere to the ethical standards as defined by the CPB and the Platform.
3. NATURE OF RELATIONSHIP
The Counselor is engaged as an independent contractor. Nothing in this Agreement creates a partnership, employment, or agency relationship. The Counselor is solely responsible for their tax obligations, statutory deductions, and regulatory compliance.
4. SCOPE OF SERVICES
Counseling services shall be provided via audio and video sessions only. These sessions shall be conducted using Google Calendar and Google Meet services facilitated through the Platform.
5. COMMISSION STRUCTURE
- The Counselor shall earn 80% of the net service fees received from clients for completed sessions.
- Ultrahealth Consulting Ltd shall retain 20% as a service fee.
- All commissions are subject to a 5% Withholding Tax as per Kenyan Revenue Authority (KRA) regulations.
6. PAYMENT TERMS
- Payments shall be made weekly, provided the Counselor’s accrued commission exceeds KES 500.
- If the amount is below KES 500, it shall be carried forward to the next payment cycle.
- Payments shall be made via M-Pesa or Bank Transfer. Other options may be added in future.
- A breakdown of session earnings and deductions will be made available through the Counselor dashboard.
7. CONFIDENTIALITY & DATA PROTECTION
- The Counselor agrees to maintain the confidentiality of all client information in accordance with the Data Protection Act, 2019.
- Any data accessed or processed through the Platform must only be used for the purposes of providing the agreed counseling services.
- Counselors shall not record, distribute, or disclose session content unless explicitly permitted by the client and the Platform.
8. CODE OF CONDUCT
Counselors must:
- Uphold professionalism and respect in all interactions.
- Avoid discriminatory, unethical, or inappropriate behavior.
- Refrain from offering services beyond their area of competence.
- Report any client risk or emergency cases to the relevant authorities.
9. INTELLECTUAL PROPERTY
All content, branding, and tools on the Platform remain the property of Ultrahealth Consulting Ltd. Counselors may not use or reproduce platform assets for personal or commercial use without prior written consent.
10. TERMINATION
This Agreement may be terminated:
- By either party with 14 days’ notice.
- Immediately by the Company in case of misconduct, breach of terms, or failure to meet professional standards.
- Upon termination, any outstanding earnings will be processed according to the payment policy.
11. INDEMNITY & LIABILITY
The Counselor agrees to indemnify and hold harmless Ultrahealth Consulting Ltd against any claims, losses, or damages arising out of professional negligence, misconduct, or breach of this Agreement.
Ultrahealth Consulting Ltd shall not be liable for any damages resulting from the use of third-party platforms (including Google Meet or Calendar), service outages, or client-related disputes.
12. DISPUTE RESOLUTION
Disputes arising from this Agreement shall be resolved amicably. Failing which, disputes shall be referred to mediation and, if unresolved, to arbitration in Nairobi, governed by the laws of Kenya.
13. AMENDMENTS
Ultrahealth Consulting Ltd reserves the right to amend these Terms at any time. Counselors will be notified of updates via email or dashboard alerts. Continued use of the Platform after notice constitutes acceptance.
14. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.
